Lease Abstraction

Ninety pages of lease, one page of what matters — rent, term, options, and obligations, extracted and dated.

Lease abstraction is the extraction of a lease's operative terms into a structured summary: parties and premises, commencement and expiry, the rent schedule with its escalations and reviews, security deposits, renewal and termination options with their notice windows, permitted use, maintenance and repair allocations, operating-expense and CAM provisions, co-tenancy and exclusivity clauses, and the dozens of other terms that govern the tenancy. It is a venerable manual profession — abstractors reading leases and filling templates — that document AI has industrialized, driven by portfolio scale (a retailer with three thousand leases, a fund with a tower's rent roll) and by lease-accounting standards (ASC 842, IFRS 16) that forced every lease's financial terms onto the balance sheet and thus into structured data.

The documents resist casual extraction in characteristic ways. Leases are long, heavily negotiated, and amended repeatedly — the abstract must reflect the lease as amended, which means the amendment-composition problem (each modification applied in sequence) that insurance endorsements also pose. Financial terms hide in prose and exhibits: the rent schedule as a table in Exhibit B, the escalation as a formula referencing an index, the percentage rent with its breakpoint arithmetic. Defined terms and cross-references carry meaning across sections; options nest conditions ("provided Tenant is not in default"); and dates are defined relatively, requiring resolution against other extracted dates. Language-model extraction handles the reading, with the domain's standard disciplines — citations to source clauses, confidence-routed review by lease professionals on the terms that drive money and deadlines.

The abstracted portfolio becomes operational infrastructure: critical-date calendars (the renewal notice due in 90 days, portfolio-wide), accounting engines fed their measurement inputs, portfolio analytics (expiries by quarter, escalations versus market, obligation exposure), and diligence acceleration when portfolios trade. As throughout contract AI, the abstract is a map, not the territory — disputes resolve against the lease's language, which is why every abstracted term keeps its pointer to the page and clause it summarizes.
